413N/A4. COMMERCIAL DISTRIBUTION
413N/ACommercial distributors of software may accept certain responsi-
413N/Abilities with respect to end users, business partners and the
413N/Alike. While this license is intended to facilitate the commercial
413N/Ause of the Program, the Contributor who includes the Program in a
413N/Acommercial product offering should do so in a manner which does
413N/Anot create potential liability for other Contributors. Therefore,

413N/Aleged intellectual property infringement. In order to qualify, an
413N/AIndemnified Contributor must: a) promptly notify the Commercial
413N/AContributor in writing of such claim, and b) allow the Commercial
413N/AContributor to control, and cooperate with the Commercial Con-
413N/Atributor in, the defense and any related settlement negotiations.
413N/AThe Indemnified Contributor may participate in any such claim at
413N/AFor example, a Contributor might include the Program in a commer-
413N/Acial product offering, Product X. That Contributor is then a Com-
413N/Amercial Contributor. If that Commercial Contributor then makes
413N/Aperformance claims, or offers warranties related to Product X,
413N/Athose performance claims and warranties are such Commercial Con-
413N/Atributor's responsibility alone. Under this section, the Commer-
413N/Acial Contributor would have to defend claims against the other
413N/AContributors related to those performance claims and warranties,
413N/Aand if a court requires any other Contributor to pay any damages
413N/Aas a result, the Commercial Contributor must pay those damages.
413N/AEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
413N/APROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF
413N/AANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITA-
413N/ATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
413N/AMERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipi-
413N/Aent is solely responsible for determining the appropriateness of
413N/Ausing and distributing the Program and assumes all risks associ-
413N/Aated with its exercise of rights under this Agreement, including
413N/Abut not limited to the risks and costs of program errors, compli-
413N/Aance with applicable laws, damage to or loss of data, programs or
413N/Aequipment, and unavailability or interruption of operations.
413N/A6. DISCLAIMER OF LIABILITY
413N/AEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPI-
413N/AENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT,
413N/AINDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAM-
413N/AAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED
413N/AAND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIA-
413N/ABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN
413N/AANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EX-
413N/AERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE

413N/AIf any provision of this Agreement is invalid or unenforceable
413N/Aunder applicable law, it shall not affect the validity or en-
413N/Aforceability of the remainder of the terms of this Agreement, and
413N/Awithout further action by the parties hereto, such provision
413N/Ashall be reformed to the minimum extent necessary to make such
413N/Aprovision valid and enforceable.
413N/AIf Recipient institutes patent litigation against a Contributor
413N/Awith respect to a patent applicable to software (including a
413N/Across-claim or counterclaim in a lawsuit), then any patent li-
413N/Acenses granted by that Contributor to such Recipient under this
413N/AAgreement shall terminate as of the date such litigation is
413N/Afiled. In addition, if Recipient institutes patent litigation
413N/Aagainst any entity (including a cross-claim or counterclaim in a
413N/Alawsuit) alleging that the Program itself (excluding combinations
413N/Aof the Program with other software or hardware) infringes such
413N/ARecipient's patent(s), then such Recipient's rights granted under
413N/ASection 2(b) shall terminate as of the date such litigation is
413N/AAll Recipient's rights under this Agreement shall terminate if it
413N/Afails to comply with any of the material terms or conditions of
413N/Athis Agreement and does not cure such failure in a reasonable pe-
413N/Ariod of time after becoming aware of such noncompliance. If all
413N/ARecipient's rights under this Agreement terminate, Recipient
413N/Aagrees to cease use and distribution of the Program as soon as
413N/Areasonably practicable. However, Recipient's obligations under
413N/Athis Agreement and any licenses granted by Recipient relating to
413N/Athe Program shall continue and survive.
413N/AEveryone is permitted to copy and distribute copies of this
413N/AAgreement, but in order to avoid inconsistency the Agreement is
413N/Acopyrighted and may only be modified in the following manner. The
413N/AAgreement Steward reserves the right to publish new versions (in-
413N/Acluding revisions) of this Agreement from time to time. No one
413N/Aother than the Agreement Steward has the right to modify this
413N/AAgreement. IBM is the initial Agreement Steward. IBM may assign
413N/Athe responsibility to serve as the Agreement Steward to a suit-
413N/Aable separate entity. Each new version of the Agreement will be
413N/Agiven a distinguishing version number. The Program (including
413N/AContributions) may always be distributed subject to the version
413N/Aof the Agreement under which it was received. In addition, after
413N/Aa new version of the Agreement is published, Contributor may
413N/Aelect to distribute the Program (including its Contributions) un-
413N/Ader the new version. Except as expressly stated in Sections 2(a)
413N/Aand 2(b) above, Recipient receives no rights or licenses to the
413N/Aintellectual property of any Contributor under this Agreement,
413N/Awhether expressly, by implication, estoppel or otherwise. All
413N/Arights in the Program not expressly granted under this Agreement
413N/AThis Agreement is governed by the laws of the State of New York
413N/Aand the intellectual property laws of the United States of Ameri-
413N/Aca. No party to this Agreement will bring a legal action under
413N/Athis Agreement more than one year after the cause of action
413N/Aarose. Each party waives its rights to a jury trial in any re-
