5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson Approved Product. No rights or licenses in the Software are granted
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson to Licensee other than those rights expressly granted in this
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson Agreement. Nothing in this License entitles Licensee to any
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson upgrades or updates to, or future releases of, the Software. If
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson Licensee redistributes the Software, then Licensee shall reproduce

5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson3. Intellectual Property Rights. The Software contains or embodies
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson intellectual property of QLogic (or any of its licensors). The
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson structure, organization and code are valuable trade secrets of
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson QLogic (or its licensors). QLogic and/or its licensors do not grant,
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson convey or license to Licensee any rights under any patents,
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson copyrights, trademarks or any other intellectual property except as
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson specifically granted herein. The Software is protected under U.S.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson copyright laws, international treaty provisions and applicable laws
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson (including patent laws, if applicable) of the country in which it is
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson being used. Any unauthorized duplication of the Software is
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson expressly forbidden.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson4. Ownership of Software. Notwithstanding anything to the contrary,

5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson copyright/patent rights and other legal rights in the Software.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson QLogic may, from time to time, implement additional security
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson measures for the Software, and Licensee shall cooperate with
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson such measures and be responsible for installing upgrades that
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson include such measures.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson6. Further Obligations. Licensee shall defend, indemnify and hold
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson QLogic harmless from and against any and all claims, damages,
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson liabilities, costs and expenses (including, without limitation,
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson attorneys" fees) arising out of Licensee"s breach of its obligations
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson under this Agreement.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson7. Term and Termination. This Agreement will become effective on the
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson date Licensee clicks on the "Agree" button below or otherwise uses
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson the Software and will remain in force until terminated. Licensee
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson may terminate this Agreement at any time, and QLogic may terminate
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson this Agreement if Licensee breaches any of the terms or conditions
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson hereunder. Licensee agrees to destroy or return to QLogic the
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson original and all copies of the Software immediately upon any
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson termination of this Agreement.
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson8. Confidentiality. Licensee acknowledges that the Software contains
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson valuable trade secrets of QLogic and other information proprietary
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson to QLogic and its licensors. Licensee shall: (i)"keep confidential
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson such trade secrets and proprietary information, including without
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson limitation all information concerning ideas and algorithms related
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson to the Software, (ii)"disclose such information only to its
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson employees and agents to the extent required to use the Software
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson under the terms of this Agreement and (iii)"bind its employees,
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson consultants, agents and other third parties in writing to maintain
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson the confidentiality of such trade secrets and proprietary
5084e753b79a753c8b532c06eb3ad1d025e8e472Mark J. Nelson information and not use or disclose such information except as
