c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab"Software" means all software provided to You in binary code form by Sun
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abunder this License as indicated on the opensolaris.org website. Software
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abincludes any updates or error corrections or documentation relating to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSoftware provided to You by Sun under this License as indicated on the
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab2. Permitted Uses.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSubject to the terms and conditions of this Agreement and restrictions and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abexceptions set forth in the Software's documentation, Sun grants you a
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abnon-exclusive, non-transferable, limited license without fees to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(a) reproduce and use internally the Software for the purposes of
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abdeveloping or running an Open Solaris distribution.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(b) reproduce and distribute the Software (and also portions of Software
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abidentified as Redistributable in the documentation accompanying Software),
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abprovided that you (i) distribute the Software or Redistributables bundled
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abas part of, and for the sole purpose of running, an OpenSolaris code;
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(ii) do not remove or alter any proprietary legends or notices contained
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abin or on the Software or Redistributables, (iii) only distribute the
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSoftware or Redistributables subject to a license agreement that protects
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSun's interests consistent with the terms contained in this Agreement,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87aband (iv) you agree to defend and indemnify Sun and its licensors from and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abagainst any damages, costs, liabilities, settlement amounts and/or
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abexpenses (including attorneys' fees) incurred in connection with any claim,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablawsuit or action by any third party that arises or results from the use
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abor distribution of any and all Programs, Software, or Redistributables.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab3. Restrictions.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(a) The copies of Software provided to you under this Agreement is
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablicensed, not sold, to you by Sun. Sun reserves all rights not expressly
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(b) You may not modify Software. However if the documentation
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abaccompanying Software lists specific portions of Software, such as header
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abfiles, class libraries, reference source code, and/or redistributable
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abfiles, that may be handled differently, you may do so only as provided in
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe documentation.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(c) You may not rent, lease, lend or encumber Software.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(d) You do not remove or alter any proprietary legends or notices
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abcontained in the Software,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(e) Unless enforcement is prohibited by applicable law, you may not
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abdecompile, or reverse engineer Software.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(f) The terms and conditions of this Agreement will apply to any Software
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abupdates, provided to you at Sun's discretion, that replace and/or
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87absupplement the original Software, unless such update contains a separate
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(g) Software is copyrighted.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(h) Software is not designed, licensed or intended for use in the design,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abconstruction, operation or maintenance of any nuclear facility and Sun
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87aband its licensors disclaim any express or implied warranty of fitness for
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab(i) No right, title or interest in or to any trademark, service mark,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablogo or trade name of Sun or its licensors is granted under this
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab4. Java Compatibility and Open Source.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSoftware may contain Java technology. You may not create additional
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abclasses to, or modifications of, the Java technology, except under
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abcompatibility requirements available under a separate agreement available
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSun supports and benefits from the global community of open source
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abdevelopers, and thanks the community for its important contributions and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abopen standards-based technology, which Sun has adopted into many of its
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abPlease note that portions of Software may be provided with notices and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abopen source licenses from such communities and third parties that govern
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe use of those portions, and any licenses granted hereunder do not
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abalter any rights and obligations you may have under such open source
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablicenses, however, the disclaimer of warranty and limitation of
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abliability provisions in this Agreement will apply to all Software in
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthis distribution.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab5. Term and Termination.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abThe Agreement is effective on the Date you recieve the Software and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abremains effective until terminated. Your rights under this Agreement
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abwill terminate immediately without notice from Sun if you materially
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abbreach it or take any action in derogation of Sun's and/or its
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablicensors' rights to Software. Sun may terminate this Agreement should
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abany Software become, or in Sun's reasonable opinion likely to become,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe subject of a claim of intellectual property infringement or trade
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87absecret misappropriation. Upon termination, you will cease use of, and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abdestroy, Software and confirm compliance in writing to Sun. Sections 1,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab3, 4, 5, and 7-13 will survive termination of the Agreement.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab6. Limited Warranty.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSun warrants to you that for a period of 90 days from the date of
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abreceipt, the media on which Software is furnished (if any) will be free
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abof defects in materials and workmanship under normal use. Except for
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe foregoing, Software is provided "AS IS". Your exclusive remedy and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSun's entire liability under this limited warranty will be at Sun's
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87aboption to replace Software media or refund the fee paid for Software.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abSome states do not allow limitations on certain implied warranties, so
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe above may not apply to you. This limited warranty gives you
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abspecific legal rights. You may have others, which vary from state to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab7. Disclaimer of Warranty.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abUNLESS SPECIFIED IN THIS AGREEMENT, ALL EXPRESS OR IMPLIED CONDITIONS,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abREPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abARE DISCLAIMED, EXCEPT TO THE EXTENT THAT THESE DISCLAIMERS ARE HELD TO
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abBE LEGALLY INVALID.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab8. Limitation of Liability.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abTO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL SUN OR ITS
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abLICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abINDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abREGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abUSE OF OR INABILITY TO USE SOFTWARE, EVEN IF SUN HAS BEEN ADVISED OF THE
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abPOSSIBILITY OF SUCH DAMAGES. In no event will Sun's liability to you,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abwhether in contract, tort (including negligence), or otherwise, exceed
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthe amount paid by you for Software under this Agreement. The foregoing
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ablimitations will apply even if the above stated warranty fails of its
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abessential purpose. Some states do not allow the exclusion of incidental
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abor consequential damages, so some of the terms above may not be
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abapplicable to you.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab9. Export Regulations.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abAll Software, documents, technical data, and any other materials
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abdelivered under this Agreement are subject to U.S. export control laws
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87aband may be subject to export or import regulations in other countries.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abYou agree to comply strictly with these laws and regulations and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abacknowledge that you have the responsibility to obtain any licenses to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abexport, re-export, or import as may be required after delivery to you.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab10. U.S. Government Restricted Rights.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abIf Software is being acquired by or on behalf of the U.S. Government or
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abby a U.S. Government prime contractor or subcontractor (at any tier),
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abthen the Government's rights in Software and accompanying documentation
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abwill be only as set forth in this Agreement; this is in accordance with
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab48 CFR 227.7201 through 227.7202-4 (for Department of Defense (DOD)
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abacquisitions) and with 48 CFR 2.101 and 12.212 (for non-DOD acquisitions).
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab11. Governing Law.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abAny action related to this Agreement will be governed by California law
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87aband controlling U.S. federal law. No choice of law rules of any
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abjurisdiction will apply.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab12. Severability.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abIf any provision of this Agreement is held to be unenforceable, this
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abAgreement will remain in effect with the provision omitted, unless
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abomission would frustrate the intent of the parties, in which case this
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abAgreement will immediately terminate.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87ab13. Integration.
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abThis Agreement is the entire agreement between you and Sun relating to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abits subject matter. It supersedes all prior or contemporaneous oral or
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abwritten communications, proposals, representations and warranties and
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abprevails over any conflicting or additional terms of any quote, order,
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abacknowledgment, or other communication between the parties relating to
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abits subject matter during the term of this Agreement. No modification
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abof this Agreement will be binding, unless in writing and signed by an
c6c9aed4d309e3d11be652b85e3bf8bb72f20c87abauthorized representative of each party.
