d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi1. DEFINITIONS
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"Contribution" means:
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia) in the case of the initial Contributor, the initial code and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidocumentation distributed under this Agreement, and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchib) in the case of each subsequent Contributor:
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchii) changes to the Program, and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiii) additions to the Program;
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiwhere such changes and/or additions to the Program originate from and are
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidistributed by that particular Contributor. A Contribution 'originates' from a
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor if it was added to the Program by such Contributor itself or anyone
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiacting on such Contributor's behalf. Contributions do not include additions to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchithe Program which: (i) are separate modules of software distributed in
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiconjunction with the Program under their own license agreement, and (ii) are not
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiderivative works of the Program.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"Contributor" means any person or entity that distributes the Program.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"Licensed Patents " mean patent claims licensable by a Contributor which are
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchinecessarily infringed by the use or sale of its Contribution alone or when
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchicombined with the Program.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"Program" means the Contributions distributed in accordance with this Agreement.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"Recipient" means anyone who receives the Program under this Agreement,
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiincluding all Contributors.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi2. GRANT OF RIGHTS
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia) Subject to the terms of this Agreement, each Contributor hereby grants
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiRecipient a non-exclusive, worldwide, royalty-free copyright license to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchireproduce, prepare derivative works of, publicly display, publicly perform,
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidistribute and sublicense the Contribution of such Contributor, if any, and such
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiderivative works, in source code and object code form.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchib) Subject to the terms of this Agreement, each Contributor hereby grants
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiRecipient a non-exclusive, worldwide, royalty-free patent license under Licensed
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiPatents to make, use, sell, offer to sell, import and otherwise transfer the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContribution of such Contributor, if any, in source code and object code form.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiThis patent license shall apply to the combination of the Contribution and the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiProgram if, at the time the Contribution is added by the Contributor, such
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiaddition of the Contribution causes such combination to be covered by the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiLicensed Patents. The patent license shall not apply to any other combinations
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiwhich include the Contribution. No hardware per se is licensed hereunder.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchic) Recipient understands that although each Contributor grants the licenses
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchito its Contributions set forth herein, no assurances are provided by any
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor that the Program does not infringe the patent or other intellectual
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiproperty rights of any other entity. Each Contributor disclaims any liability to
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiRecipient for claims brought by any other entity based on infringement of
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiintellectual property rights or otherwise. As a condition to exercising the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirights and licenses granted hereunder, each Recipient hereby assumes sole
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiresponsibility to secure any other intellectual property rights needed, if any.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiFor example, if a third party patent license is required to allow Recipient to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidistribute the Program, it is Recipient's responsibility to acquire that license
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchibefore distributing the Program.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchid) Each Contributor represents that to its knowledge it has sufficient
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchicopyright rights in its Contribution, if any, to grant the copyright license set
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiforth in this Agreement.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi3. REQUIREMENTS
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiA Contributor may choose to distribute the Program in object code form under its
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiown license agreement, provided that:
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia) it complies with the terms and conditions of this Agreement; and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchib) its license agreement:
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchii) effectively disclaims on behalf of all Contributors all warranties and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiconditions, express and implied, including warranties or conditions of title and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchinon-infringement, and implied warranties or conditions of merchantability and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchifitness for a particular purpose;
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiii) effectively excludes on behalf of all Contributors all liability for
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidamages, including direct, indirect, special, incidental and consequential
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidamages, such as lost profits;
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiiii) states that any provisions which differ from this Agreement are offered
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiby that Contributor alone and not by any other party; and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiiv) states that source code for the Program is available from such
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor, and informs licensees how to obtain it in a reasonable manner on or
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchithrough a medium customarily used for software exchange.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiWhen the Program is made available in source code form:
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia) it must be made available under this Agreement; and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchib) a copy of this Agreement must be included with each copy of the Program.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributors may not remove or alter any copyright notices contained within the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiEach Contributor must identify itself as the originator of its Contribution, if
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiany, in a manner that reasonably allows subsequent Recipients to identify the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchioriginator of the Contribution.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi4. COMMERCIAL DISTRIBUTION
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiCommercial distributors of software may accept certain responsibilities with
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirespect to end users, business partners and the like. While this license is
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiintended to facilitate the commercial use of the Program, the Contributor who
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiincludes the Program in a commercial product offering should do so in a manner
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiwhich does not create potential liability for other Contributors. Therefore, if
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia Contributor includes the Program in a commercial product offering, such
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor ("Commercial Contributor") hereby agrees to defend and indemnify
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchievery other Contributor ("Indemnified Contributor") against any losses, damages
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiand costs (collectively "Losses") arising from claims, lawsuits and other legal
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiactions brought by a third party against the Indemnified Contributor to the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiextent caused by the acts or omissions of such Commercial Contributor in
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiconnection with its distribution of the Program in a commercial product
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchioffering. The obligations in this section do not apply to any claims or Losses
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirelating to any actual or alleged intellectual property infringement. In order
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchito qualify, an Indemnified Contributor must: a) promptly notify the Commercial
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor in writing of such claim, and b) allow the Commercial Contributor to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchicontrol, and cooperate with the Commercial Contributor in, the defense and any
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirelated settlement negotiations. The Indemnified Contributor may participate in
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiany such claim at its own expense.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiFor example, a Contributor might include the Program in a commercial product
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchioffering, Product X. That Contributor is then a Commercial Contributor. If that
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiCommercial Contributor then makes performance claims, or offers warranties
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirelated to Product X, those performance claims and warranties are such
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiCommercial Contributor's responsibility alone. Under this section, the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiCommercial Contributor would have to defend claims against the other
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributors related to those performance claims and warranties, and if a court
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirequires any other Contributor to pay any damages as a result, the Commercial
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributor must pay those damages.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi5. NO WARRANTY
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED ON AN
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi"AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiIMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE,
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiNON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiRecipient is solely responsible for determining the appropriateness of using and
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchidistributing the Program and assumes all risks associated with its exercise of
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchirights under this Agreement, including but not limited to the risks and costs of
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiprogram errors, compliance with applicable laws, damage to or loss of data,
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiprograms or equipment, and unavailability or interruption of operations.
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi6. DISCLAIMER OF LIABILITY
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR ANY
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiCONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL,
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiSPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiPROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiSTRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiOUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiGRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiIf any provision of this Agreement is invalid or unenforceable under applicable
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchilaw, it shall not affect the validity or enforceability of the remainder of the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiterms of this Agreement, and without further action by the parties hereto, such
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiprovision shall be reformed to the minimum extent necessary to make such
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiprovision valid and enforceable.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiIf Recipient institutes patent litigation against a Contributor with respect to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchia patent applicable to software (including a cross-claim or counterclaim in a
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchilawsuit), then any patent licenses granted by that Contributor to such Recipient
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiunder this Agreement shall terminate as of the date such litigation is filed. In
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiaddition, if Recipient institutes patent litigation against any entity
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi(including a cross-claim or counterclaim in a lawsuit) alleging that the Program
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiitself (excluding combinations of the Program with other software or hardware)
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiinfringes such Recipient's patent(s), then such Recipient's rights granted under
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiSection 2(b) shall terminate as of the date such litigation is filed.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiAll Recipient's rights under this Agreement shall terminate if it fails to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchicomply with any of the material terms or conditions of this Agreement and does
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchinot cure such failure in a reasonable period of time after becoming aware of
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchisuch noncompliance. If all Recipient's rights under this Agreement terminate,
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiRecipient agrees to cease use and distribution of the Program as soon as
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchireasonably practicable. However, Recipient's obligations under this Agreement
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiand any licenses granted by Recipient relating to the Program shall continue and
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiEveryone is permitted to copy and distribute copies of this Agreement, but in
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiorder to avoid inconsistency the Agreement is copyrighted and may only be
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchimodified in the following manner. The Agreement Steward reserves the right to
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchipublish new versions (including revisions) of this Agreement from time to time.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiNo one other than the Agreement Steward has the right to modify this Agreement.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiIBM is the initial Agreement Steward. IBM may assign the responsibility to serve
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchias the Agreement Steward to a suitable separate entity. Each new version of the
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiAgreement will be given a distinguishing version number. The Program (including
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributions) may always be distributed subject to the version of the Agreement
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiunder which it was received. In addition, after a new version of the Agreement
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiis published, Contributor may elect to distribute the Program (including its
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiContributions) under the new version. Except as expressly stated in Sections
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchi2(a) and 2(b) above, Recipient receives no rights or licenses to the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiintellectual property of any Contributor under this Agreement, whether
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiexpressly, by implication, estoppel or otherwise. All rights in the Program not
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiexpressly granted under this Agreement are reserved.
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiThis Agreement is governed by the laws of the State of New York and the
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiintellectual property laws of the United States of America. No party to this
d14abf155341d55053c76eeec58b787a456b753bRobert MustacchiAgreement will bring a legal action under this Agreement more than one year
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiafter the cause of action arose. Each party waives its rights to a jury trial in
d14abf155341d55053c76eeec58b787a456b753bRobert Mustacchiany resulting litigation.
