f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"Contribution" means:
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla) in the case of the initial Contributor, the initial code and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldocumentation distributed under this Agreement, and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollb) in the case of each subsequent Contributor:
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolli) changes to the Program, and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollii) additions to the Program;
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollwhere such changes and/or additions to the Program originate from and are
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldistributed by that particular Contributor. A Contribution 'originates' from a
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor if it was added to the Program by such Contributor itself or anyone
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollacting on such Contributor's behalf. Contributions do not include additions to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollthe Program which: (i) are separate modules of software distributed in
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollconjunction with the Program under their own license agreement, and (ii) are not
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollderivative works of the Program.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"Contributor" means any person or entity that distributes the Program.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"Licensed Patents " mean patent claims licensable by a Contributor which are
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollnecessarily infringed by the use or sale of its Contribution alone or when
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollcombined with the Program.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"Program" means the Contributions distributed in accordance with this Agreement.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"Recipient" means anyone who receives the Program under this Agreement,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollincluding all Contributors.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll2. GRANT OF RIGHTS
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla) Subject to the terms of this Agreement, each Contributor hereby grants
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollRecipient a non-exclusive, worldwide, royalty-free copyright license to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollreproduce, prepare derivative works of, publicly display, publicly perform,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldistribute and sublicense the Contribution of such Contributor, if any, and such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollderivative works, in source code and object code form.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollb) Subject to the terms of this Agreement, each Contributor hereby grants
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollRecipient a non-exclusive, worldwide, royalty-free patent license under Licensed
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollPatents to make, use, sell, offer to sell, import and otherwise transfer the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContribution of such Contributor, if any, in source code and object code form.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollThis patent license shall apply to the combination of the Contribution and the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollProgram if, at the time the Contribution is added by the Contributor, such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolladdition of the Contribution causes such combination to be covered by the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollLicensed Patents. The patent license shall not apply to any other combinations
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollwhich include the Contribution. No hardware per se is licensed hereunder.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollc) Recipient understands that although each Contributor grants the licenses
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollto its Contributions set forth herein, no assurances are provided by any
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor that the Program does not infringe the patent or other intellectual
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollproperty rights of any other entity. Each Contributor disclaims any liability to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollRecipient for claims brought by any other entity based on infringement of
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollintellectual property rights or otherwise. As a condition to exercising the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrights and licenses granted hereunder, each Recipient hereby assumes sole
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollresponsibility to secure any other intellectual property rights needed, if any.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollFor example, if a third party patent license is required to allow Recipient to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldistribute the Program, it is Recipient's responsibility to acquire that license
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollbefore distributing the Program.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolld) Each Contributor represents that to its knowledge it has sufficient
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollcopyright rights in its Contribution, if any, to grant the copyright license set
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollforth in this Agreement.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll3. REQUIREMENTS
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollA Contributor may choose to distribute the Program in object code form under its
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollown license agreement, provided that:
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla) it complies with the terms and conditions of this Agreement; and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollb) its license agreement:
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolli) effectively disclaims on behalf of all Contributors all warranties and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollconditions, express and implied, including warranties or conditions of title and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollnon-infringement, and implied warranties or conditions of merchantability and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollfitness for a particular purpose;
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollii) effectively excludes on behalf of all Contributors all liability for
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldamages, including direct, indirect, special, incidental and consequential
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldamages, such as lost profits;
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolliii) states that any provisions which differ from this Agreement are offered
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollby that Contributor alone and not by any other party; and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolliv) states that source code for the Program is available from such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor, and informs licensees how to obtain it in a reasonable manner on or
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollthrough a medium customarily used for software exchange.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollWhen the Program is made available in source code form:
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla) it must be made available under this Agreement; and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollb) a copy of this Agreement must be included with each copy of the Program.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributors may not remove or alter any copyright notices contained within the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollEach Contributor must identify itself as the originator of its Contribution, if
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollany, in a manner that reasonably allows subsequent Recipients to identify the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolloriginator of the Contribution.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll4. COMMERCIAL DISTRIBUTION
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollCommercial distributors of software may accept certain responsibilities with
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrespect to end users, business partners and the like. While this license is
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollintended to facilitate the commercial use of the Program, the Contributor who
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollincludes the Program in a commercial product offering should do so in a manner
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollwhich does not create potential liability for other Contributors. Therefore, if
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla Contributor includes the Program in a commercial product offering, such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor ("Commercial Contributor") hereby agrees to defend and indemnify
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollevery other Contributor ("Indemnified Contributor") against any losses, damages
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolland costs (collectively "Losses") arising from claims, lawsuits and other legal
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollactions brought by a third party against the Indemnified Contributor to the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollextent caused by the acts or omissions of such Commercial Contributor in
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollconnection with its distribution of the Program in a commercial product
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolloffering. The obligations in this section do not apply to any claims or Losses
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrelating to any actual or alleged intellectual property infringement. In order
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollto qualify, an Indemnified Contributor must: a) promptly notify the Commercial
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor in writing of such claim, and b) allow the Commercial Contributor to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollcontrol, and cooperate with the Commercial Contributor in, the defense and any
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrelated settlement negotiations. The Indemnified Contributor may participate in
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollany such claim at its own expense.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollFor example, a Contributor might include the Program in a commercial product
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolloffering, Product X. That Contributor is then a Commercial Contributor. If that
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollCommercial Contributor then makes performance claims, or offers warranties
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrelated to Product X, those performance claims and warranties are such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollCommercial Contributor's responsibility alone. Under this section, the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollCommercial Contributor would have to defend claims against the other
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributors related to those performance claims and warranties, and if a court
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrequires any other Contributor to pay any damages as a result, the Commercial
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributor must pay those damages.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll5. NO WARRANTY
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED ON AN
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll"AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollIMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollNON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollRecipient is solely responsible for determining the appropriateness of using and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolldistributing the Program and assumes all risks associated with its exercise of
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollrights under this Agreement, including but not limited to the risks and costs of
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollprogram errors, compliance with applicable laws, damage to or loss of data,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollprograms or equipment, and unavailability or interruption of operations.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll6. DISCLAIMER OF LIABILITY
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollEXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR ANY
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollCONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollSPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollPROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollSTRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollOUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollGRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollIf any provision of this Agreement is invalid or unenforceable under applicable
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolllaw, it shall not affect the validity or enforceability of the remainder of the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollterms of this Agreement, and without further action by the parties hereto, such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollprovision shall be reformed to the minimum extent necessary to make such
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollprovision valid and enforceable.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollIf Recipient institutes patent litigation against a Contributor with respect to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolla patent applicable to software (including a cross-claim or counterclaim in a
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolllawsuit), then any patent licenses granted by that Contributor to such Recipient
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollunder this Agreement shall terminate as of the date such litigation is filed. In
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolladdition, if Recipient institutes patent litigation against any entity
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll(including a cross-claim or counterclaim in a lawsuit) alleging that the Program
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollitself (excluding combinations of the Program with other software or hardware)
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollinfringes such Recipient's patent(s), then such Recipient's rights granted under
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollSection 2(b) shall terminate as of the date such litigation is filed.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollAll Recipient's rights under this Agreement shall terminate if it fails to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollcomply with any of the material terms or conditions of this Agreement and does
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollnot cure such failure in a reasonable period of time after becoming aware of
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollsuch noncompliance. If all Recipient's rights under this Agreement terminate,
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollRecipient agrees to cease use and distribution of the Program as soon as
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollreasonably practicable. However, Recipient's obligations under this Agreement
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersolland any licenses granted by Recipient relating to the Program shall continue and
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollEveryone is permitted to copy and distribute copies of this Agreement, but in
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollorder to avoid inconsistency the Agreement is copyrighted and may only be
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollmodified in the following manner. The Agreement Steward reserves the right to
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollpublish new versions (including revisions) of this Agreement from time to time.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollNo one other than the Agreement Steward has the right to modify this Agreement.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollIBM is the initial Agreement Steward. IBM may assign the responsibility to serve
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollas the Agreement Steward to a suitable separate entity. Each new version of the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollAgreement will be given a distinguishing version number. The Program (including
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributions) may always be distributed subject to the version of the Agreement
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollunder which it was received. In addition, after a new version of the Agreement
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollis published, Contributor may elect to distribute the Program (including its
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollContributions) under the new version. Except as expressly stated in Sections
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersoll2(a) and 2(b) above, Recipient receives no rights or licenses to the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollintellectual property of any Contributor under this Agreement, whether
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollexpressly, by implication, estoppel or otherwise. All rights in the Program not
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollexpressly granted under this Agreement are reserved.
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollThis Agreement is governed by the laws of the State of New York and the
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollintellectual property laws of the United States of America. No party to this
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys IngersollAgreement will bring a legal action under this Agreement more than one year
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollafter the cause of action arose. Each party waives its rights to a jury trial in
f717cf302ad33ac8dcb06cab149e63a1f07618c5Wyllys Ingersollany resulting litigation.
