b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter "Contribution" means:
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter a) in the case of the initial Contributor, the initial code and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter documentation distributed under this Agreement, and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter b) in the case of each subsequent Contributor:
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter i) changes to the Program, and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter ii) additions to the Program;
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter where such changes and/or additions to the Program originate from
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter and are distributed by that particular Contributor. A Contribution
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter 'originates' from a Contributor if it was added to the Program by
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter such Contributor itself or anyone acting on such Contributor's
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter behalf. Contributions do not include additions to the Program
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter which: (i) are separate modules of software distributed in
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter conjunction with the Program under their own license agreement, and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter (ii) are not derivative works of the Program.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter "Contributor" means any person or entity that distributes the Program.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter "Licensed Patents " mean patent claims licensable by a Contributor
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter which are necessarily infringed by the use or sale of its Contribution
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter alone or when combined with the Program.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter "Program" means the Contributions distributed in accordance with this
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter "Recipient" means anyone who receives the Program under this
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter Agreement, including all Contributors.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter 2. GRANT OF RIGHTS
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter a) Subject to the terms of this Agreement, each Contributor hereby
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter grants Recipient a non-exclusive, worldwide, royalty-free copyright
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter license to reproduce, prepare derivative works of, publicly
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter display, publicly perform, distribute and sublicense the
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter Contribution of such Contributor, if any, and such derivative
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter works, in source code and object code form.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter b) Subject to the terms of this Agreement, each Contributor hereby
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter grants Recipient a non-exclusive, worldwide, royalty-free patent
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter license under Licensed Patents to make, use, sell, offer to sell,
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter import and otherwise transfer the Contribution of such Contributor,
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter if any, in source code and object code form. This patent license
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter shall apply to the combination of the Contribution and the Program
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter if, at the time the Contribution is added by the Contributor, such
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter addition of the Contribution causes such combination to be covered
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter by the Licensed Patents. The patent license shall not apply to any
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter other combinations which include the Contribution. No hardware per
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter se is licensed hereunder.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter c) Recipient understands that although each Contributor grants the
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter licenses to its Contributions set forth herein, no assurances are
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter provided by any Contributor that the Program does not infringe the
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter patent or other intellectual property rights of any other entity.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter Each Contributor disclaims any liability to Recipient for claims
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter brought by any other entity based on infringement of intellectual
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter property rights or otherwise. As a condition to exercising the
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter rights and licenses granted hereunder, each Recipient hereby
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter assumes sole responsibility to secure any other intellectual
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter property rights needed, if any. For example, if a third party
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter patent license is required to allow Recipient to distribute the
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter Program, it is Recipient's responsibility to acquire that license
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter before distributing the Program.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter d) Each Contributor represents that to its knowledge it has
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter sufficient copyright rights in its Contribution, if any, to grant
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter the copyright license set forth in this Agreement.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter 3. REQUIREMENTS
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter A Contributor may choose to distribute the Program in object code form
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter under its own license agreement, provided that:
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter a) it complies with the terms and conditions of this Agreement; and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter b) its license agreement:
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter i) effectively disclaims on behalf of all Contributors all
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter warranties and conditions, express and implied, including
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter warranties or conditions of title and non-infringement, and implied
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter warranties or conditions of merchantability and fitness for a
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter particular purpose;
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter ii) effectively excludes on behalf of all Contributors all
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter liability for damages, including direct, indirect, special,
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter incidental and consequential damages, such as lost profits;
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter iii) states that any provisions which differ from this Agreement
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter are offered by that Contributor alone and not by any other party;
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter iv) states that source code for the Program is available from such
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contributor, and informs licensees how to obtain it in a reasonable
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter manner on or through a medium customarily used for software
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter When the Program is made available in source code form:
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter a) it must be made available under this Agreement; and
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter b) a copy of this Agreement must be included with each copy of the
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contributors may not remove or alter any copyright notices contained
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter within the Program.
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Each Contributor must identify itself as the originator of its
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contribution, if any, in a manner that reasonably allows subsequent
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Recipients to identify the originator of the Contribution.
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter 4. COMMERCIAL DISTRIBUTION
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Commercial distributors of software may accept certain
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter responsibilities with respect to end users, business partners and the
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter like. While this license is intended to facilitate the commercial use
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter of the Program, the Contributor who includes the Program in a
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter commercial product offering should do so in a manner which does not
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter create potential liability for other Contributors. Therefore, if a
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contributor includes the Program in a commercial product offering,
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter such Contributor ("Commercial Contributor") hereby agrees to defend
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter and indemnify every other Contributor ("Indemnified Contributor")
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter against any losses, damages and costs (collectively "Losses") arising
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter from claims, lawsuits and other legal actions brought by a third party
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter against the Indemnified Contributor to the extent caused by the acts
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter or omissions of such Commercial Contributor in connection with its
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter distribution of the Program in a commercial product offering. The
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter obligations in this section do not apply to any claims or Losses
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter relating to any actual or alleged intellectual property infringement.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter In order to qualify, an Indemnified Contributor must: a) promptly
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter notify the Commercial Contributor in writing of such claim, and b)
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter allow the Commercial Contributor to control, and cooperate with the
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Commercial Contributor in, the defense and any related settlement
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter negotiations. The Indemnified Contributor may participate in any such
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter claim at its own expense.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter For example, a Contributor might include the Program in a commercial
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter product offering, Product X. That Contributor is then a Commercial
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contributor. If that Commercial Contributor then makes performance
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter claims, or offers warranties related to Product X, those performance
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter claims and warranties are such Commercial Contributor's responsibility
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter alone. Under this section, the Commercial Contributor would have to
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter defend claims against the other Contributors related to those
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter performance claims and warranties, and if a court requires any other
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Contributor to pay any damages as a result, the Commercial Contributor
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter must pay those damages.
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter 5. NO WARRANTY
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter responsible for determining the appropriateness of using and
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter distributing the Program and assumes all risks associated with its
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter exercise of rights under this Agreement, including but not limited to
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter the risks and costs of program errors, compliance with applicable
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter laws, damage to or loss of data, programs or equipment, and
1319e71fd1680ca4864afe0b1aca2b8c8e4a1ee4Stef Walter unavailability or interruption of operations.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter 6. DISCLAIMER OF LIABILITY
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek If any provision of this Agreement is invalid or unenforceable under
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek applicable law, it shall not affect the validity or enforceability of
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek the remainder of the terms of this Agreement, and without further
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek action by the parties hereto, such provision shall be reformed to the
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek minimum extent necessary to make such provision valid and enforceable.
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek If Recipient institutes patent litigation against a Contributor with
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek respect to a patent applicable to software (including a cross-claim or
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek counterclaim in a lawsuit), then any patent licenses granted by that
90e04eae7e54ec892a6f239783df94dab5d1ed9aJakub Hrozek Contributor to such Recipient under this Agreement shall terminate as
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter of the date such litigation is filed. In addition, if Recipient
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter institutes patent litigation against any entity (including a
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter cross-claim or counterclaim in a lawsuit) alleging that the Program
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter itself (excluding combinations of the Program with other software or
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter hardware) infringes such Recipient's patent(s), then such Recipient's
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter rights granted under Section 2(b) shall terminate as of the date such
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter litigation is filed.
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter All Recipient's rights under this Agreement shall terminate if it
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter fails to comply with any of the material terms or conditions of this
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter Agreement and does not cure such failure in a reasonable period of
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter time after becoming aware of such noncompliance. If all Recipient's
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter rights under this Agreement terminate, Recipient agrees to cease use
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter and distribution of the Program as soon as reasonably practicable.
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter However, Recipient's obligations under this Agreement and any licenses
b699c4d7f85a5404be1d1ee9450331aea869b886Stef Walter granted by Recipient relating to the Program shall continue and
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Everyone is permitted to copy and distribute copies of this Agreement,
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter but in order to avoid inconsistency the Agreement is copyrighted and
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter may only be modified in the following manner. The Agreement Steward
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter reserves the right to publish new versions (including revisions) of
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter this Agreement from time to time. No one other than the Agreement
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Steward has the right to modify this Agreement. IBM is the initial
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Agreement Steward. IBM may assign the responsibility to serve as the
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Agreement Steward to a suitable separate entity. Each new version of
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter the Agreement will be given a distinguishing version number. The
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter Program (including Contributions) may always be distributed subject to
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter the version of the Agreement under which it was received. In addition,
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter after a new version of the Agreement is published, Contributor may
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter elect to distribute the Program (including its Contributions) under
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter the new version. Except as expressly stated in Sections 2(a) and 2(b)
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter above, Recipient receives no rights or licenses to the intellectual
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter property of any Contributor under this Agreement, whether expressly,
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter by implication, estoppel or otherwise. All rights in the Program not
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter expressly granted under this Agreement are reserved.
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter This Agreement is governed by the laws of the State of New York and
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter the intellectual property laws of the United States of America. No
dff909d473f43a6bd0f0286fa2d279c0ebe945c6Stef Walter party to this Agreement will bring a legal action under this Agreement
