7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin a) in the case of the initial Contributor, the initial code and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin documentation distributed under this Agreement, and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin b) in the case of each subsequent Contributor:
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin i) changes to the Program, and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin ii) additions to the Program;
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin where such changes and/or additions to the Program originate from
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin and are distributed by that particular Contributor. A Contribution
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 'originates' from a Contributor if it was added to the Program by
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin such Contributor itself or anyone acting on such Contributor's
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin behalf. Contributions do not include additions to the Program
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin which: (i) are separate modules of software distributed in
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin conjunction with the Program under their own license agreement, and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin (ii) are not derivative works of the Program.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin "Contributor" means any person or entity that distributes the Program.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin "Licensed Patents " mean patent claims licensable by a Contributor
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin which are necessarily infringed by the use or sale of its Contribution
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin alone or when combined with the Program.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin "Program" means the Contributions distributed in accordance with this
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin "Recipient" means anyone who receives the Program under this
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Agreement, including all Contributors.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 2. GRANT OF RIGHTS
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin a) Subject to the terms of this Agreement, each Contributor hereby
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin grants Recipient a non-exclusive, worldwide, royalty-free copyright
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin license to reproduce, prepare derivative works of, publicly
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin display, publicly perform, distribute and sublicense the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contribution of such Contributor, if any, and such derivative
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin works, in source code and object code form.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin b) Subject to the terms of this Agreement, each Contributor hereby
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin grants Recipient a non-exclusive, worldwide, royalty-free patent
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin license under Licensed Patents to make, use, sell, offer to sell,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin import and otherwise transfer the Contribution of such Contributor,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin if any, in source code and object code form. This patent license
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin shall apply to the combination of the Contribution and the Program
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin if, at the time the Contribution is added by the Contributor, such
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin addition of the Contribution causes such combination to be covered
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin by the Licensed Patents. The patent license shall not apply to any
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin other combinations which include the Contribution. No hardware per
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin se is licensed hereunder.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin c) Recipient understands that although each Contributor grants the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin licenses to its Contributions set forth herein, no assurances are
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin provided by any Contributor that the Program does not infringe the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin patent or other intellectual property rights of any other entity.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Each Contributor disclaims any liability to Recipient for claims
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin brought by any other entity based on infringement of intellectual
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin property rights or otherwise. As a condition to exercising the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin rights and licenses granted hereunder, each Recipient hereby
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin assumes sole responsibility to secure any other intellectual
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin property rights needed, if any. For example, if a third party
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin patent license is required to allow Recipient to distribute the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Program, it is Recipient's responsibility to acquire that license
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin before distributing the Program.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin d) Each Contributor represents that to its knowledge it has
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin sufficient copyright rights in its Contribution, if any, to grant
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the copyright license set forth in this Agreement.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 3. REQUIREMENTS
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin A Contributor may choose to distribute the Program in object code form
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin under its own license agreement, provided that:
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin a) it complies with the terms and conditions of this Agreement; and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin b) its license agreement:
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin i) effectively disclaims on behalf of all Contributors all
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin warranties and conditions, express and implied, including
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin warranties or conditions of title and non-infringement, and implied
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin warranties or conditions of merchantability and fitness for a
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin particular purpose;
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin ii) effectively excludes on behalf of all Contributors all
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin liability for damages, including direct, indirect, special,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin incidental and consequential damages, such as lost profits;
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin iii) states that any provisions which differ from this Agreement
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin are offered by that Contributor alone and not by any other party;
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin iv) states that source code for the Program is available from such
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributor, and informs licensees how to obtain it in a reasonable
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin manner on or through a medium customarily used for software
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin When the Program is made available in source code form:
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin a) it must be made available under this Agreement; and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin b) a copy of this Agreement must be included with each copy of the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributors may not remove or alter any copyright notices contained
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin within the Program.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Each Contributor must identify itself as the originator of its
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contribution, if any, in a manner that reasonably allows subsequent
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Recipients to identify the originator of the Contribution.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 4. COMMERCIAL DISTRIBUTION
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Commercial distributors of software may accept certain
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin responsibilities with respect to end users, business partners and the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin like. While this license is intended to facilitate the commercial use
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin of the Program, the Contributor who includes the Program in a
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin commercial product offering should do so in a manner which does not
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin create potential liability for other Contributors. Therefore, if a
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributor includes the Program in a commercial product offering,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin such Contributor ("Commercial Contributor") hereby agrees to defend
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin and indemnify every other Contributor ("Indemnified Contributor")
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin against any losses, damages and costs (collectively "Losses") arising
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin from claims, lawsuits and other legal actions brought by a third party
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin against the Indemnified Contributor to the extent caused by the acts
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin or omissions of such Commercial Contributor in connection with its
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin distribution of the Program in a commercial product offering. The
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin obligations in this section do not apply to any claims or Losses
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin relating to any actual or alleged intellectual property infringement.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin In order to qualify, an Indemnified Contributor must: a) promptly
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin notify the Commercial Contributor in writing of such claim, and b)
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin allow the Commercial Contributor to control, and cooperate with the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Commercial Contributor in, the defense and any related settlement
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin negotiations. The Indemnified Contributor may participate in any such
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin claim at its own expense.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin For example, a Contributor might include the Program in a commercial
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin product offering, Product X. That Contributor is then a Commercial
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributor. If that Commercial Contributor then makes performance
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin claims, or offers warranties related to Product X, those performance
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin claims and warranties are such Commercial Contributor's responsibility
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin alone. Under this section, the Commercial Contributor would have to
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin defend claims against the other Contributors related to those
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin performance claims and warranties, and if a court requires any other
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributor to pay any damages as a result, the Commercial Contributor
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin must pay those damages.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 5. NO WARRANTY
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin responsible for determining the appropriateness of using and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin distributing the Program and assumes all risks associated with its
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin exercise of rights under this Agreement, including but not limited to
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the risks and costs of program errors, compliance with applicable
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin laws, damage to or loss of data, programs or equipment, and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin unavailability or interruption of operations.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin 6. DISCLAIMER OF LIABILITY
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin If any provision of this Agreement is invalid or unenforceable under
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin applicable law, it shall not affect the validity or enforceability of
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the remainder of the terms of this Agreement, and without further
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin action by the parties hereto, such provision shall be reformed to the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin minimum extent necessary to make such provision valid and enforceable.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin If Recipient institutes patent litigation against a Contributor with
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin respect to a patent applicable to software (including a cross-claim or
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin counterclaim in a lawsuit), then any patent licenses granted by that
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Contributor to such Recipient under this Agreement shall terminate as
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin of the date such litigation is filed. In addition, if Recipient
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin institutes patent litigation against any entity (including a
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin cross-claim or counterclaim in a lawsuit) alleging that the Program
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin itself (excluding combinations of the Program with other software or
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin hardware) infringes such Recipient's patent(s), then such Recipient's
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin rights granted under Section 2(b) shall terminate as of the date such
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin litigation is filed.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin All Recipient's rights under this Agreement shall terminate if it
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin fails to comply with any of the material terms or conditions of this
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Agreement and does not cure such failure in a reasonable period of
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin time after becoming aware of such noncompliance. If all Recipient's
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin rights under this Agreement terminate, Recipient agrees to cease use
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin and distribution of the Program as soon as reasonably practicable.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin However, Recipient's obligations under this Agreement and any licenses
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin granted by Recipient relating to the Program shall continue and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Everyone is permitted to copy and distribute copies of this Agreement,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin but in order to avoid inconsistency the Agreement is copyrighted and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin may only be modified in the following manner. The Agreement Steward
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin reserves the right to publish new versions (including revisions) of
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin this Agreement from time to time. No one other than the Agreement
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Steward has the right to modify this Agreement. IBM is the initial
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Agreement Steward. IBM may assign the responsibility to serve as the
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Agreement Steward to a suitable separate entity. Each new version of
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the Agreement will be given a distinguishing version number. The
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin Program (including Contributions) may always be distributed subject to
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the version of the Agreement under which it was received. In addition,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin after a new version of the Agreement is published, Contributor may
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin elect to distribute the Program (including its Contributions) under
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the new version. Except as expressly stated in Sections 2(a) and 2(b)
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin above, Recipient receives no rights or licenses to the intellectual
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin property of any Contributor under this Agreement, whether expressly,
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin by implication, estoppel or otherwise. All rights in the Program not
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin expressly granted under this Agreement are reserved.
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin This Agreement is governed by the laws of the State of New York and
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin the intellectual property laws of the United States of America. No
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin party to this Agreement will bring a legal action under this Agreement
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin more than one year after the cause of action arose. Each party waives
7c2fbfb345896881c631598ee3852ce9ce33fb07April Chin its rights to a jury trial in any resulting litigation.
