b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder "Contribution" means:
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder a) in the case of the initial Contributor, the initial code and
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder documentation distributed under this Agreement, and
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder b) in the case of each subsequent Contributor:
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder i) changes to the Program, and
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder ii) additions to the Program;
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder where such changes and/or additions to the Program originate from
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder and are distributed by that particular Contributor. A Contribution
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder 'originates' from a Contributor if it was added to the Program by
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder such Contributor itself or anyone acting on such Contributor's
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder behalf. Contributions do not include additions to the Program
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder which: (i) are separate modules of software distributed in
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder conjunction with the Program under their own license agreement, and
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder (ii) are not derivative works of the Program.
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder "Contributor" means any person or entity that distributes the Program.
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder "Licensed Patents " mean patent claims licensable by a Contributor
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder which are necessarily infringed by the use or sale of its Contribution
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder alone or when combined with the Program.
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder "Program" means the Contributions distributed in accordance with this
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder "Recipient" means anyone who receives the Program under this
b7cdce4a1a87dad63b65b75b54619ba7d6ae407aChristian Maeder Agreement, including all Contributors.
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder 2. GRANT OF RIGHTS
ced07c9898416326e30ad25e1021bbd25217ed1fChristian Maeder a) Subject to the terms of this Agreement, each Contributor hereby
9b7af933b9d17ba4084a359c0a362cb32ee87101Christian Maeder grants Recipient a non-exclusive, worldwide, royalty-free copyright
2eb84fc82d3ffa9116bc471fda3742bd9e5a24bbChristian Maeder license to reproduce, prepare derivative works of, publicly
2eb84fc82d3ffa9116bc471fda3742bd9e5a24bbChristian Maeder display, publicly perform, distribute and sublicense the
2eb84fc82d3ffa9116bc471fda3742bd9e5a24bbChristian Maeder Contribution of such Contributor, if any, and such derivative
2eb84fc82d3ffa9116bc471fda3742bd9e5a24bbChristian Maeder works, in source code and object code form.
2eb84fc82d3ffa9116bc471fda3742bd9e5a24bbChristian Maeder b) Subject to the terms of this Agreement, each Contributor hereby
35db0960aa2e2a13652381c756fae5fb2b27213bChristian Maeder grants Recipient a non-exclusive, worldwide, royalty-free patent
9b7af933b9d17ba4084a359c0a362cb32ee87101Christian Maeder license under Licensed Patents to make, use, sell, offer to sell,
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder import and otherwise transfer the Contribution of such Contributor,
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder if any, in source code and object code form. This patent license
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder shall apply to the combination of the Contribution and the Program
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder if, at the time the Contribution is added by the Contributor, such
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder addition of the Contribution causes such combination to be covered
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder by the Licensed Patents. The patent license shall not apply to any
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder other combinations which include the Contribution. No hardware per
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder se is licensed hereunder.
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder c) Recipient understands that although each Contributor grants the
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder licenses to its Contributions set forth herein, no assurances are
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder provided by any Contributor that the Program does not infringe the
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder patent or other intellectual property rights of any other entity.
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder Each Contributor disclaims any liability to Recipient for claims
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder brought by any other entity based on infringement of intellectual
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder property rights or otherwise. As a condition to exercising the
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder rights and licenses granted hereunder, each Recipient hereby
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder assumes sole responsibility to secure any other intellectual
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder property rights needed, if any. For example, if a third party
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder patent license is required to allow Recipient to distribute the
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder Program, it is Recipient's responsibility to acquire that license
863346e5b42fe87083ff8eeeed4f8e884fd883dcChristian Maeder before distributing the Program.
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder d) Each Contributor represents that to its knowledge it has
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder sufficient copyright rights in its Contribution, if any, to grant
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder the copyright license set forth in this Agreement.
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder 3. REQUIREMENTS
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder A Contributor may choose to distribute the Program in object code form
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder under its own license agreement, provided that:
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder a) it complies with the terms and conditions of this Agreement; and
4d958df66bb360ea27ba1c11b8b40b85d78b0c9cChristian Maeder b) its license agreement:
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder i) effectively disclaims on behalf of all Contributors all
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder warranties and conditions, express and implied, including
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder warranties or conditions of title and non-infringement, and implied
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder warranties or conditions of merchantability and fitness for a
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder particular purpose;
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder ii) effectively excludes on behalf of all Contributors all
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder liability for damages, including direct, indirect, special,
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder incidental and consequential damages, such as lost profits;
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder iii) states that any provisions which differ from this Agreement
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder are offered by that Contributor alone and not by any other party;
b645cf3dc1e449038ed291bbd11fcc6e02b2fc7fChristian Maeder iv) states that source code for the Program is available from such
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder Contributor, and informs licensees how to obtain it in a reasonable
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder manner on or through a medium customarily used for software
239d2f8c5f787c78e5b8dbfad7cf2119aec57fa5Christian Maeder When the Program is made available in source code form:
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder a) it must be made available under this Agreement; and
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder b) a copy of this Agreement must be included with each copy of the
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder Contributors may not remove or alter any copyright notices contained
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder within the Program.
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Each Contributor must identify itself as the originator of its
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder Contribution, if any, in a manner that reasonably allows subsequent
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Recipients to identify the originator of the Contribution.
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder 4. COMMERCIAL DISTRIBUTION
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Commercial distributors of software may accept certain
42c01284bba8d7c8d995c8dfb96ace57d28ed1bcTill Mossakowski responsibilities with respect to end users, business partners and the
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder like. While this license is intended to facilitate the commercial use
42c01284bba8d7c8d995c8dfb96ace57d28ed1bcTill Mossakowski of the Program, the Contributor who includes the Program in a
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder commercial product offering should do so in a manner which does not
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder create potential liability for other Contributors. Therefore, if a
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Contributor includes the Program in a commercial product offering,
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder such Contributor ("Commercial Contributor") hereby agrees to defend
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder and indemnify every other Contributor ("Indemnified Contributor")
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder against any losses, damages and costs (collectively "Losses") arising
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder from claims, lawsuits and other legal actions brought by a third party
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder against the Indemnified Contributor to the extent caused by the acts
b645cf3dc1e449038ed291bbd11fcc6e02b2fc7fChristian Maeder or omissions of such Commercial Contributor in connection with its
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder distribution of the Program in a commercial product offering. The
42c01284bba8d7c8d995c8dfb96ace57d28ed1bcTill Mossakowski obligations in this section do not apply to any claims or Losses
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder relating to any actual or alleged intellectual property infringement.
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder In order to qualify, an Indemnified Contributor must: a) promptly
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder notify the Commercial Contributor in writing of such claim, and b)
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder allow the Commercial Contributor to control, and cooperate with the
b645cf3dc1e449038ed291bbd11fcc6e02b2fc7fChristian Maeder Commercial Contributor in, the defense and any related settlement
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder negotiations. The Indemnified Contributor may participate in any such
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder claim at its own expense.
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder For example, a Contributor might include the Program in a commercial
42c01284bba8d7c8d995c8dfb96ace57d28ed1bcTill Mossakowski product offering, Product X. That Contributor is then a Commercial
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Contributor. If that Commercial Contributor then makes performance
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder claims, or offers warranties related to Product X, those performance
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder claims and warranties are such Commercial Contributor's responsibility
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder alone. Under this section, the Commercial Contributor would have to
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder defend claims against the other Contributors related to those
d297778800daa7ceba73ad9b19884c883487dee7Christian Maeder performance claims and warranties, and if a court requires any other
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder Contributor to pay any damages as a result, the Commercial Contributor
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder must pay those damages.
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder 5. NO WARRANTY

414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
4d958df66bb360ea27ba1c11b8b40b85d78b0c9cChristian Maeder If any provision of this Agreement is invalid or unenforceable under
4d958df66bb360ea27ba1c11b8b40b85d78b0c9cChristian Maeder applicable law, it shall not affect the validity or enforceability of
239d2f8c5f787c78e5b8dbfad7cf2119aec57fa5Christian Maeder the remainder of the terms of this Agreement, and without further
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder action by the parties hereto, such provision shall be reformed to the
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder minimum extent necessary to make such provision valid and enforceable.
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder If Recipient institutes patent litigation against a Contributor with
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder respect to a patent applicable to software (including a cross-claim or
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder counterclaim in a lawsuit), then any patent licenses granted by that
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder Contributor to such Recipient under this Agreement shall terminate as
42c01284bba8d7c8d995c8dfb96ace57d28ed1bcTill Mossakowski of the date such litigation is filed. In addition, if Recipient
b2f62f06870f3e2e57ad00012dd8e568d73daa64Christian Maeder institutes patent litigation against any entity (including a
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder cross-claim or counterclaim in a lawsuit) alleging that the Program
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder itself (excluding combinations of the Program with other software or
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder hardware) infringes such Recipient's patent(s), then such Recipient's
b645cf3dc1e449038ed291bbd11fcc6e02b2fc7fChristian Maeder rights granted under Section 2(b) shall terminate as of the date such
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder litigation is filed.
79e54cf5929d47b8969d6f82ae68807c4949e6ccChristian Maeder All Recipient's rights under this Agreement shall terminate if it
d3927688083b3b94ecc6a110d0e5f6be188ada00Christian Maeder fails to comply with any of the material terms or conditions of this
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder Agreement and does not cure such failure in a reasonable period of
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder time after becoming aware of such noncompliance. If all Recipient's
d3927688083b3b94ecc6a110d0e5f6be188ada00Christian Maeder rights under this Agreement terminate, Recipient agrees to cease use
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder and distribution of the Program as soon as reasonably practicable.
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder However, Recipient's obligations under this Agreement and any licenses
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder granted by Recipient relating to the Program shall continue and
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder Everyone is permitted to copy and distribute copies of this Agreement,
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder but in order to avoid inconsistency the Agreement is copyrighted and
50dce6b011347f92377adb8bbabaeeb80975e86dChristian Maeder may only be modified in the following manner. The Agreement Steward
d3927688083b3b94ecc6a110d0e5f6be188ada00Christian Maeder reserves the right to publish new versions (including revisions) of
414ffa281d82f05a2d742c702f8e06b0cb05b229Christian Maeder this Agreement from time to time. No one other than the Agreement
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder Steward has the right to modify this Agreement. IBM is the initial
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder Agreement Steward. IBM may assign the responsibility to serve as the
d297778800daa7ceba73ad9b19884c883487dee7Christian Maeder Agreement Steward to a suitable separate entity. Each new version of
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder the Agreement will be given a distinguishing version number. The
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder Program (including Contributions) may always be distributed subject to
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder the version of the Agreement under which it was received. In addition,
891964ed616e02baab4edd0ae7699016ffc06f27Christian Maeder after a new version of the Agreement is published, Contributor may
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder elect to distribute the Program (including its Contributions) under
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder the new version. Except as expressly stated in Sections 2(a) and 2(b)
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder above, Recipient receives no rights or licenses to the intellectual
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder property of any Contributor under this Agreement, whether expressly,
e953bea49e7f0e1a43bccf2a66c5e2a2b50848e0Christian Maeder by implication, estoppel or otherwise. All rights in the Program not
327519e04e56b411fd48311aca545d7f15b9714eChristian Maeder expressly granted under this Agreement are reserved.
