60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof "Contribution" means:
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof a) in the case of the initial Contributor, the initial code and
81db7808fbee540434bcc6c7198579b95a6a2d88Jabiertxof documentation distributed under this Agreement, and
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof b) in the case of each subsequent Contributor:
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof i) changes to the Program, and
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof ii) additions to the Program;
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof where such changes and/or additions to the Program originate from
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof and are distributed by that particular Contributor. A Contribution
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof 'originates' from a Contributor if it was added to the Program by
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof such Contributor itself or anyone acting on such Contributor's
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof behalf. Contributions do not include additions to the Program
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof which: (i) are separate modules of software distributed in
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof conjunction with the Program under their own license agreement, and
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof (ii) are not derivative works of the Program.
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof "Contributor" means any person or entity that distributes the Program.
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof "Licensed Patents " mean patent claims licensable by a Contributor
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof which are necessarily infringed by the use or sale of its Contribution
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof alone or when combined with the Program.
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof "Program" means the Contributions distributed in accordance with this
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof "Recipient" means anyone who receives the Program under this
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof Agreement, including all Contributors.
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof 2. GRANT OF RIGHTS
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof a) Subject to the terms of this Agreement, each Contributor hereby
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof grants Recipient a non-exclusive, worldwide, royalty-free copyright
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof license to reproduce, prepare derivative works of, publicly
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof display, publicly perform, distribute and sublicense the
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Contribution of such Contributor, if any, and such derivative
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof works, in source code and object code form.
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof b) Subject to the terms of this Agreement, each Contributor hereby
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof grants Recipient a non-exclusive, worldwide, royalty-free patent
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof license under Licensed Patents to make, use, sell, offer to sell,
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof import and otherwise transfer the Contribution of such Contributor,
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof if any, in source code and object code form. This patent license
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof shall apply to the combination of the Contribution and the Program
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof if, at the time the Contribution is added by the Contributor, such
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof addition of the Contribution causes such combination to be covered
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof by the Licensed Patents. The patent license shall not apply to any
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof other combinations which include the Contribution. No hardware per
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof se is licensed hereunder.
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof c) Recipient understands that although each Contributor grants the
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof licenses to its Contributions set forth herein, no assurances are
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof provided by any Contributor that the Program does not infringe the
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof patent or other intellectual property rights of any other entity.
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Each Contributor disclaims any liability to Recipient for claims
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof brought by any other entity based on infringement of intellectual
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof property rights or otherwise. As a condition to exercising the
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof rights and licenses granted hereunder, each Recipient hereby
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof assumes sole responsibility to secure any other intellectual
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof property rights needed, if any. For example, if a third party
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof patent license is required to allow Recipient to distribute the
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof Program, it is Recipient's responsibility to acquire that license
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof before distributing the Program.
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof d) Each Contributor represents that to its knowledge it has
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof sufficient copyright rights in its Contribution, if any, to grant
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof the copyright license set forth in this Agreement.
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof 3. REQUIREMENTS
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof A Contributor may choose to distribute the Program in object code form
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof under its own license agreement, provided that:
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof a) it complies with the terms and conditions of this Agreement; and
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof b) its license agreement:
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof i) effectively disclaims on behalf of all Contributors all
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof warranties and conditions, express and implied, including
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof warranties or conditions of title and non-infringement, and implied
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof warranties or conditions of merchantability and fitness for a
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof particular purpose;
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof ii) effectively excludes on behalf of all Contributors all
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof liability for damages, including direct, indirect, special,
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof incidental and consequential damages, such as lost profits;
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof iii) states that any provisions which differ from this Agreement
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof are offered by that Contributor alone and not by any other party;
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof iv) states that source code for the Program is available from such
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Contributor, and informs licensees how to obtain it in a reasonable
2ce2003d5713154f99c32af18fb904a1af109031Jabiertxof manner on or through a medium customarily used for software
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof When the Program is made available in source code form:
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof a) it must be made available under this Agreement; and
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof b) a copy of this Agreement must be included with each copy of the
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Contributors may not remove or alter any copyright notices contained
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof within the Program.
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Each Contributor must identify itself as the originator of its
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Contribution, if any, in a manner that reasonably allows subsequent
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Recipients to identify the originator of the Contribution.
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof 4. COMMERCIAL DISTRIBUTION
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Commercial distributors of software may accept certain
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof responsibilities with respect to end users, business partners and the
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof like. While this license is intended to facilitate the commercial use
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof of the Program, the Contributor who includes the Program in a
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof commercial product offering should do so in a manner which does not
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof create potential liability for other Contributors. Therefore, if a
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof Contributor includes the Program in a commercial product offering,
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof such Contributor ("Commercial Contributor") hereby agrees to defend
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof and indemnify every other Contributor ("Indemnified Contributor")
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof against any losses, damages and costs (collectively "Losses") arising
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof from claims, lawsuits and other legal actions brought by a third party
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof against the Indemnified Contributor to the extent caused by the acts
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof or omissions of such Commercial Contributor in connection with its
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof distribution of the Program in a commercial product offering. The
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof obligations in this section do not apply to any claims or Losses
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof relating to any actual or alleged intellectual property infringement.
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof In order to qualify, an Indemnified Contributor must: a) promptly
de641d2613f4eea940ba6eb6c52ea9bcda516ba2Jabiertxof notify the Commercial Contributor in writing of such claim, and b)
721286d6ce40a27fcd8b9483667a43ed09023b17Jabiertxof allow the Commercial Contributor to control, and cooperate with the
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof Commercial Contributor in, the defense and any related settlement
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof negotiations. The Indemnified Contributor may participate in any such

721286d6ce40a27fcd8b9483667a43ed09023b17Jabiertxof For example, a Contributor might include the Program in a commercial
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof product offering, Product X. That Contributor is then a Commercial
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof Contributor. If that Commercial Contributor then makes performance
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof claims, or offers warranties related to Product X, those performance
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof claims and warranties are such Commercial Contributor's responsibility
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof alone. Under this section, the Commercial Contributor would have to
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof defend claims against the other Contributors related to those
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof performance claims and warranties, and if a court requires any other
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof Contributor to pay any damages as a result, the Commercial Contributor
3ab4e87511c6a42f29370bf22a9afcf759ca1d0dJabiertxof must pay those damages.
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof 5. NO WARRANTY
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof responsible for determining the appropriateness of using and
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof distributing the Program and assumes all risks associated with its
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof exercise of rights under this Agreement, including but not limited to
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof the risks and costs of program errors, compliance with applicable
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof laws, damage to or loss of data, programs or equipment, and
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof unavailability or interruption of operations.
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof 6. DISCLAIMER OF LIABILITY
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
f948d98c3deb0138bfb77fa69b48c1118122b1c2jabiertxof If any provision of this Agreement is invalid or unenforceable under
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof applicable law, it shall not affect the validity or enforceability of
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof the remainder of the terms of this Agreement, and without further
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof action by the parties hereto, such provision shall be reformed to the
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof minimum extent necessary to make such provision valid and enforceable.
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof If Recipient institutes patent litigation against a Contributor with
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof respect to a patent applicable to software (including a cross-claim or
f7b72f99da76cd720b0a07868fc5dbf28b856d85Jabiertxof counterclaim in a lawsuit), then any patent licenses granted by that
9d766cc272a22da6d0de4ebf6896da731b6c45c0jabiertxof Contributor to such Recipient under this Agreement shall terminate as
9d766cc272a22da6d0de4ebf6896da731b6c45c0jabiertxof of the date such litigation is filed. In addition, if Recipient
9d766cc272a22da6d0de4ebf6896da731b6c45c0jabiertxof institutes patent litigation against any entity (including a
9d766cc272a22da6d0de4ebf6896da731b6c45c0jabiertxof cross-claim or counterclaim in a lawsuit) alleging that the Program
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof itself (excluding combinations of the Program with other software or
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof hardware) infringes such Recipient's patent(s), then such Recipient's
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof rights granted under Section 2(b) shall terminate as of the date such
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof litigation is filed.
8fbc43f88a5488f54a1b99fcc08e340c7c1edf32jabiertxof All Recipient's rights under this Agreement shall terminate if it
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof fails to comply with any of the material terms or conditions of this
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Agreement and does not cure such failure in a reasonable period of
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof time after becoming aware of such noncompliance. If all Recipient's
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof rights under this Agreement terminate, Recipient agrees to cease use
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof and distribution of the Program as soon as reasonably practicable.
60db347ea19e568bd09c35a0248a9f78d7931ca0Jabiertxof However, Recipient's obligations under this Agreement and any licenses
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof granted by Recipient relating to the Program shall continue and
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Everyone is permitted to copy and distribute copies of this Agreement,
dbe3e7dacd7d4490ef69cc21314dc718b4706ae5jabiertxof but in order to avoid inconsistency the Agreement is copyrighted and
a7e81150b867e54cf50d331e30bb88f5676248c6Jabiertxof may only be modified in the following manner. The Agreement Steward
9d766cc272a22da6d0de4ebf6896da731b6c45c0jabiertxof reserves the right to publish new versions (including revisions) of
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof this Agreement from time to time. No one other than the Agreement
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Steward has the right to modify this Agreement. IBM is the initial
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Agreement Steward. IBM may assign the responsibility to serve as the
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Agreement Steward to a suitable separate entity. Each new version of
8fbc43f88a5488f54a1b99fcc08e340c7c1edf32jabiertxof the Agreement will be given a distinguishing version number. The
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof Program (including Contributions) may always be distributed subject to
8fbc43f88a5488f54a1b99fcc08e340c7c1edf32jabiertxof the version of the Agreement under which it was received. In addition,
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof after a new version of the Agreement is published, Contributor may
0b159142b0b5738b20883b411fe8233657cf8b4fJabiertxof elect to distribute the Program (including its Contributions) under
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof the new version. Except as expressly stated in Sections 2(a) and 2(b)
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof above, Recipient receives no rights or licenses to the intellectual
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof property of any Contributor under this Agreement, whether expressly,
ccbee7d45f91658e83a602a9a28ee26162a261f9Jabiertxof by implication, estoppel or otherwise. All rights in the Program not
163aa8601274792f2afe8e24a061fed96b7a6599Jabiertxof expressly granted under this Agreement are reserved.
dbe3e7dacd7d4490ef69cc21314dc718b4706ae5jabiertxof This Agreement is governed by the laws of the State of New York and
dbe3e7dacd7d4490ef69cc21314dc718b4706ae5jabiertxof the intellectual property laws of the United States of America. No
dbe3e7dacd7d4490ef69cc21314dc718b4706ae5jabiertxof party to this Agreement will bring a legal action under this Agreement
