da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin "Contribution" means:
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin a) in the case of the initial Contributor, the initial code and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin documentation distributed under this Agreement, and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin b) in the case of each subsequent Contributor:
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin i) changes to the Program, and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin ii) additions to the Program;
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin where such changes and/or additions to the Program originate from
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin and are distributed by that particular Contributor. A Contribution
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 'originates' from a Contributor if it was added to the Program by
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin such Contributor itself or anyone acting on such Contributor's
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin behalf. Contributions do not include additions to the Program
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin which: (i) are separate modules of software distributed in
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin conjunction with the Program under their own license agreement, and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin (ii) are not derivative works of the Program.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin "Contributor" means any person or entity that distributes the Program.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin "Licensed Patents " mean patent claims licensable by a Contributor
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin which are necessarily infringed by the use or sale of its Contribution
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin alone or when combined with the Program.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin "Program" means the Contributions distributed in accordance with this
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Agreement.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin "Recipient" means anyone who receives the Program under this
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Agreement, including all Contributors.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 2. GRANT OF RIGHTS
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin a) Subject to the terms of this Agreement, each Contributor hereby
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin grants Recipient a non-exclusive, worldwide, royalty-free copyright
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin license to reproduce, prepare derivative works of, publicly
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin display, publicly perform, distribute and sublicense the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contribution of such Contributor, if any, and such derivative
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin works, in source code and object code form.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin b) Subject to the terms of this Agreement, each Contributor hereby
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin grants Recipient a non-exclusive, worldwide, royalty-free patent
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin license under Licensed Patents to make, use, sell, offer to sell,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin import and otherwise transfer the Contribution of such Contributor,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin if any, in source code and object code form. This patent license
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin shall apply to the combination of the Contribution and the Program
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin if, at the time the Contribution is added by the Contributor, such
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin addition of the Contribution causes such combination to be covered
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin by the Licensed Patents. The patent license shall not apply to any
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin other combinations which include the Contribution. No hardware per
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin se is licensed hereunder.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin c) Recipient understands that although each Contributor grants the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin licenses to its Contributions set forth herein, no assurances are
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin provided by any Contributor that the Program does not infringe the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin patent or other intellectual property rights of any other entity.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Each Contributor disclaims any liability to Recipient for claims
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin brought by any other entity based on infringement of intellectual
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin property rights or otherwise. As a condition to exercising the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin rights and licenses granted hereunder, each Recipient hereby
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin assumes sole responsibility to secure any other intellectual
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin property rights needed, if any. For example, if a third party
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin patent license is required to allow Recipient to distribute the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Program, it is Recipient's responsibility to acquire that license
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin before distributing the Program.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin d) Each Contributor represents that to its knowledge it has
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin sufficient copyright rights in its Contribution, if any, to grant
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the copyright license set forth in this Agreement.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 3. REQUIREMENTS
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin A Contributor may choose to distribute the Program in object code form
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin under its own license agreement, provided that:
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin a) it complies with the terms and conditions of this Agreement; and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin b) its license agreement:
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin i) effectively disclaims on behalf of all Contributors all
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin warranties and conditions, express and implied, including
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin warranties or conditions of title and non-infringement, and implied
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin warranties or conditions of merchantability and fitness for a
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin particular purpose;
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin ii) effectively excludes on behalf of all Contributors all
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin liability for damages, including direct, indirect, special,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin incidental and consequential damages, such as lost profits;
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin iii) states that any provisions which differ from this Agreement
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin are offered by that Contributor alone and not by any other party;
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin iv) states that source code for the Program is available from such
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributor, and informs licensees how to obtain it in a reasonable
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin manner on or through a medium customarily used for software
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin When the Program is made available in source code form:
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin a) it must be made available under this Agreement; and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin b) a copy of this Agreement must be included with each copy of the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributors may not remove or alter any copyright notices contained
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin within the Program.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Each Contributor must identify itself as the originator of its
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contribution, if any, in a manner that reasonably allows subsequent
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Recipients to identify the originator of the Contribution.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 4. COMMERCIAL DISTRIBUTION
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Commercial distributors of software may accept certain
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin responsibilities with respect to end users, business partners and the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin like. While this license is intended to facilitate the commercial use
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin of the Program, the Contributor who includes the Program in a
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin commercial product offering should do so in a manner which does not
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin create potential liability for other Contributors. Therefore, if a
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributor includes the Program in a commercial product offering,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin such Contributor ("Commercial Contributor") hereby agrees to defend
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin and indemnify every other Contributor ("Indemnified Contributor")
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin against any losses, damages and costs (collectively "Losses") arising
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin from claims, lawsuits and other legal actions brought by a third party
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin against the Indemnified Contributor to the extent caused by the acts
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin or omissions of such Commercial Contributor in connection with its
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin distribution of the Program in a commercial product offering. The
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin obligations in this section do not apply to any claims or Losses
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin relating to any actual or alleged intellectual property infringement.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin In order to qualify, an Indemnified Contributor must: a) promptly
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin notify the Commercial Contributor in writing of such claim, and b)
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin allow the Commercial Contributor to control, and cooperate with the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Commercial Contributor in, the defense and any related settlement
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin negotiations. The Indemnified Contributor may participate in any such
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin claim at its own expense.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin For example, a Contributor might include the Program in a commercial
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin product offering, Product X. That Contributor is then a Commercial
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributor. If that Commercial Contributor then makes performance
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin claims, or offers warranties related to Product X, those performance
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin claims and warranties are such Commercial Contributor's responsibility
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin alone. Under this section, the Commercial Contributor would have to
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin defend claims against the other Contributors related to those
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin performance claims and warranties, and if a court requires any other
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributor to pay any damages as a result, the Commercial Contributor
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin must pay those damages.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 5. NO WARRANTY
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin responsible for determining the appropriateness of using and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin distributing the Program and assumes all risks associated with its
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin exercise of rights under this Agreement, including but not limited to
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the risks and costs of program errors, compliance with applicable
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin laws, damage to or loss of data, programs or equipment, and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin unavailability or interruption of operations.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 6. DISCLAIMER OF LIABILITY
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin 7. GENERAL
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin If any provision of this Agreement is invalid or unenforceable under
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin applicable law, it shall not affect the validity or enforceability of
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the remainder of the terms of this Agreement, and without further
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin action by the parties hereto, such provision shall be reformed to the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin minimum extent necessary to make such provision valid and enforceable.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin If Recipient institutes patent litigation against a Contributor with
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin respect to a patent applicable to software (including a cross-claim or
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin counterclaim in a lawsuit), then any patent licenses granted by that
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Contributor to such Recipient under this Agreement shall terminate as
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin of the date such litigation is filed. In addition, if Recipient
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin institutes patent litigation against any entity (including a
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin cross-claim or counterclaim in a lawsuit) alleging that the Program
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin itself (excluding combinations of the Program with other software or
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin hardware) infringes such Recipient's patent(s), then such Recipient's
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin rights granted under Section 2(b) shall terminate as of the date such
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin litigation is filed.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin All Recipient's rights under this Agreement shall terminate if it
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin fails to comply with any of the material terms or conditions of this
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Agreement and does not cure such failure in a reasonable period of
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin time after becoming aware of such noncompliance. If all Recipient's
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin rights under this Agreement terminate, Recipient agrees to cease use
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin and distribution of the Program as soon as reasonably practicable.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin However, Recipient's obligations under this Agreement and any licenses
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin granted by Recipient relating to the Program shall continue and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Everyone is permitted to copy and distribute copies of this Agreement,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin but in order to avoid inconsistency the Agreement is copyrighted and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin may only be modified in the following manner. The Agreement Steward
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin reserves the right to publish new versions (including revisions) of
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin this Agreement from time to time. No one other than the Agreement
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Steward has the right to modify this Agreement. IBM is the initial
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Agreement Steward. IBM may assign the responsibility to serve as the
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Agreement Steward to a suitable separate entity. Each new version of
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the Agreement will be given a distinguishing version number. The
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin Program (including Contributions) may always be distributed subject to
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the version of the Agreement under which it was received. In addition,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin after a new version of the Agreement is published, Contributor may
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin elect to distribute the Program (including its Contributions) under
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the new version. Except as expressly stated in Sections 2(a) and 2(b)
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin above, Recipient receives no rights or licenses to the intellectual
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin property of any Contributor under this Agreement, whether expressly,
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin by implication, estoppel or otherwise. All rights in the Program not
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin expressly granted under this Agreement are reserved.
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin This Agreement is governed by the laws of the State of New York and
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin the intellectual property laws of the United States of America. No
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin party to this Agreement will bring a legal action under this Agreement
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin more than one year after the cause of action arose. Each party waives
da2e3ebdc1edfbc5028edf1354e7dd2fa69a7968chin its rights to a jury trial in any resulting litigation.
